1. Acceptance of Terms

By accessing, browsing, or using SellMyWeb ("Platform"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service. If you do not accept these terms, you must not use our website, services, or marketplace tools.

2. Marketplace Role & Scope of Service

SellMyWeb is an online introduction and listing marketplace designed to connect prospective buyers and sellers of digital assets, including websites, web applications, SaaS businesses, domain portfolios, and digital tools.

3. Seller Responsibilities & Listing Accuracy

Sellers listing digital properties on SellMyWeb represent and warrant that:

• They are the genuine legal owner of the listed asset or possess documented, authorized power of attorney to execute the transaction.
• All information provided in the listing description, including financial history, traffic numbers, customer accounts, and technology details, is truthful, accurate, and not misleading.
• The listed property is unencumbered by undisclosed liens, third-party intellectual property claims, or illegal activities.
• They will not attempt to list prohibited goods, pirated intellectual property, fraudulent tools, gambling scripts, or illegal adult services.

4. Metrics, Claims & Verification Limitations

SellMyWeb clearly distinguishes between different classes of listing metrics:

• Seller-Reported / Claimed Metrics: Unless explicitly accompanied by a provider verification badge, financial figures (revenue, MRR, profit margins, traffic counts) are self-reported by the seller and have not been independently audited or verified by SellMyWeb.
• Provider-Verified Metrics: When a listing displays a "Verified" badge, it indicates solely that the seller connected an authenticated read-only API integration with an authorized third-party provider (such as Stripe or Razorpay) to verify net payment transaction volume over a designated timeframe.
• Verification Scope: Provider verification does NOT constitute an endorsement, guarantee of future financial viability, legal audit of intellectual property, or validation of net accounting profit.

5. Buyer Responsibilities & Independent Due Diligence

Buyers acknowledge that purchasing digital properties carries inherent commercial and technical risks. Buyers are exclusively responsible for conducting rigorous independent due diligence, verifying seller claims, inspecting codebases, testing server dependencies, validating domain ownership, and consulting legal and financial advisors before transferring acquisition funds.

6. Prohibited Conduct & Content

Users of the Platform agree not to:

• Post false, deceptive, defamatory, or fraudulent listing descriptions.
• Engage in harassment, spamming, phishing, or abusive communications via platform messaging.
• Scrape, crawl, or harvest marketplace data for competitive replication without express written authorization.
• Circumvent platform security, manipulate user ratings, or tamper with administrative functions.
• Violate the intellectual property, copyright, trademark, or trade secret rights of any third party.

7. Platform Fees, Subscriptions & Refunds

SellMyWeb offers free and premium tier listing plans (Starter, Growth, Scale, and Featured Add-ons). Listing fees cover the publication and marketing exposure of your listing on the Platform. Payment processing terms, renewal rules, and refund criteria are set forth in our dedicated Refund Policy.

8. Intellectual Property

The SellMyWeb trademark, logos, software codebase, visual branding, and layout are the proprietary intellectual property of SellMyWeb and its operators. Content and images submitted by users in listings remain the property of their respective creators, with a worldwide, non-exclusive license granted to SellMyWeb to display such content on the marketplace.

9. Limitation of Liability & Disclaimers

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, SELLMYWEB AND ITS OPERATORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL SELLMYWEB BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR ANY LOSS OF REVENUE, DATA, OR ASSETS ARISING FROM TRANSACTIONS BETWEEN USERS.

SellMyWeb assumes no responsibility or liability for disputes between buyers and sellers, failed negotiations, fraudulent acts or misrepresentations committed by either party, or the quality, profitability, traffic, revenue, ownership, or performance of any listed digital business or property.

10. Suspension and Account Termination

SellMyWeb reserves the right to suspend, terminate, or remove any listing or user account immediately and without prior notice in the event of suspected fraud, safety violations, report investigations, or breach of these Terms.

11. Governing Law & Dispute Resolution

These Terms of Service and any dispute or claim arising out of or related to your use of the Platform shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

The courts located in India shall have exclusive jurisdiction over any legal suit, action, or proceeding arising out of or related to these Terms.
